Frequently asked questions

Common questions on commercial law

What liability do company directors have?

They are liable to the company, its shareholders and its creditors for damage caused by acts contrary to the law or the articles of association, or by breaching their duties of care and loyalty. Sound preventive advice and documenting decisions reduce that risk.

Do I need to register my platform’s trade mark?

It is highly advisable: registration gives you an exclusive right to the mark in the territories where it is registered and makes it easier to act against copies or confusing uses. Ideally, do it before launching or entering a new market.

What should be reviewed before buying a travel agency, a bedbank or a TravelTech start-up?

Beyond the accounts, the sector-specific issues: contracts with suppliers and customers and their change-of-control clauses, licences and insolvency protection, which do not always transfer with the business, advance payments from travellers for services not yet provided, VAT and REAV contingencies, customer data and ownership of trade marks, domains and technology. Whatever the due diligence uncovers is reflected in the price and in the warranties of the sale and purchase agreement.
