Frequently asked questions

Common questions on corporate law

What is legal due diligence?

A review of a company’s legal position before investing in it or buying it: corporate matters, contracts, employees, intellectual property, data, litigation and regulatory compliance. It helps identify risks and negotiate warranties or price adjustments.

What is the difference between the articles of association and a shareholders’ agreement?

The articles of association are filed with the Commercial Registry and bind the company and third parties. A shareholders’ agreement is a private contract governing more detailed matters, such as share transfers, lock-ins or exits, and binds only those who sign it.

What should a shareholders’ agreement include?

The allocation and vesting of the founders’ shares, transfer rules (pre-emption, drag-along and tag-along), governance and reserved matters, lock-in and non-compete provisions, and shareholder exits.

Who owns code written for me by an external developer? And code generated with AI?

If an employee writes it in the course of their duties, the exploitation rights belong to the company unless otherwise agreed (article 97.4 of the Spanish Intellectual Property Act). There is no such rule for a freelancer or an external agency: you need a written contract assigning the rights to you. For AI-generated code, copyright requires human authorship, so it is advisable to document your team’s input and review the tool’s terms.
